Job Description

Brookfield Public Securities Group ("PSG") is seeking to add a resource to support its Registered Funds Legal and Regulatory Team in its New York office. This person will be primarily responsible for providing counsel on a wide range of legal and regulatory matters impacting PSG’s pooled vehicles, with specific attention to UCITS and 1940 Act funds, among others. Such matters will include, among others, guidance on applicable regulation and exemptive relief; preparation, review and presentation of board materials; drafting and maintenance of relevant disclosures; corporate governance items specifically related to portfolio management transactions; and structuring, launch and distribution of pooled vehicles globally and in the US, including 1940 Act funds, especially closed-end registered funds (unlisted and listed on an exchange), that focus on alternative investment strategies, including real estate, private credit and private equity. The person will be a key member of the Registered Funds Legal and Regulatory team and will regularly interact with investment, distribution, finance, fund accounting, client service and operations professionals, as well as senior management, throughout PSG and Brookfield Asset Management. The individual assuming this role should have deep familiarity with legal and regulatory matters associated with the management of registered funds and other pooled vehicles, and support for the various independent boards or other governance or oversight bodies thereof, be organized and self-motivated to be able to run independently with projects.

Key Responsibilities
• Advise on fund governance matters, liaise with fund and independent trustee counsel, review, and present from time-to-time, board materials and provide guidance to business colleagues and senior management on board proposals.
• Review and maintain the disclosures included in prospectuses and other offering documents of pooled vehicles managed or administered by PSG globally, including UCITS and 1940 Act funds, among others, as well as other filings and disclosures required by applicable regulatory regimes.
• Provide legal and regulatory advice regarding structuring, distribution and development of new products and investment vehicles both within and outside of the US; work on fund/vehicle mergers and product modifications.
• Advise investment teams in collaboration with compliance professionals on US and non-US legal and regulatory issues arising from trading, operational and/or research matters.
• Legal review and analysis of transactions being considered for potential investment, including co-investment transactions made in reliance on SEC exemptive relief.
• Support corporate governance matters related to structuring investments and portfolio holdings of an innovative registered fund investing in private assets.
• Collaborate with business and other Legal and Regulatory colleagues with respect to global distribution matters.
• Draft, review and negotiate investment management agreements and vendor contracts as well as amendments thereto.
• Provide legal support for responses to regulatory inquiries.
• Other projects as assigned.

Candidate Profile
• Juris Doctorate (J.D) from an accredited institution.
• Licensed to practice law and a member in good standing in the State of New York.
• 3-5 years of experience at a financial intermediary, private law firm, or within the asset management industry with a focus on registered funds.
• Significant experience with the Investment Company Act of 1940 and the Investment Advisers Act of 1940 required.
• Working knowledge of the Securities Act of 1933 and Securities Exchange Act of 1934 preferred.
• Experience with closed-end registered funds and/or private funds is preferred.
• Understanding of international investment adviser regulation, offering regulations (both public offerings and private placements) and disclosure principles is desirable but not required.
• Working knowledge of US non-resident client business is preferred.
• Ability to break down complex and complicated legal issues quickly and provide real time legal advice.
• Proven ability to work independently and efficiently and as a team player in a demanding, fast-paced, fluid environment handling multiple tasks and projects concurrently, while maintaining highest standards and attention to detail.

Salary Range: $175,000 - $250,000

Job Description
• Point of contact for several of Brookfield Public Securities Group's (PSG) registered and private funds in United States, Canada, and Ireland, across several jurisdictions. This role will work with the senior members of the fund administration team as well as own relationships with funds' third- party administrators. Preparation, review and understanding impactful issues regarding fund reporting, including net asset valuation calculations, security valuation, fund budgets & expense analysis is key to this role.
• Point person for Brookfield's board members in Irish and Canadian jurisdictions. Partner with each fund's third- party administrators and external auditors to prepare and issue the funds' financial statements and other regulatory filings, presenting issues to fund board members for review and approval.
• Coordinate effectively with teams across the firm in client service, legal, operations, and corporate finance regarding all fund-related items, including overall fund operating procedures, client inquiries, product development, management and performance fee calculations, legal document review, and revenue and expense projections.
• Construct analyses regarding product development, and new initiatives, for senior management review, exercising sound business judgement and understanding of Brookfield's products.
• Assist portfolio management teams regarding ad hoc portfolio reporting requests or investor-related questions.
• Work effectively with all members of the fund administration team across all products to ensure consistency of reporting and processes and assist the team on projects on projects related to all funds in scope, including private hedge funds, US Registered funds, Irish UCITS, and Canadian funds as needed.
• Utilize Advent Geneva portfolio accounting system to manage monthly performance reporting process
• Consistently review the functions' processes to ensure efficiencies and highlight opportunities for improvement.
• Partner with each fund's third-party tax preparers to generate investor tax deliverables, answering any investor-driven questions related to them
• Supervise and review the work of team members

Qualifications & Requirements:
• Bachelor's degree in Accounting or Finance
• 5+ years of experience in public accounting or the Financial Services industry
• Strong verbal and written communication skills
• Strong analytical skills and attention to detail
• Self-starter with a strong work ethic, results orientation, and ability to manage multiple projects effectively.
• Strong knowledge of MS Excel and Word required, working knowledge of Powerpoint
• Experience with Advent Geneva portfolio system a plus
• CPA designation a plus

Job Description

The Real Asset Solutions team draws on the full range of Brookfield and Oaktree public and private investment offerings to deliver asset allocation investment strategies and whole portfolio solutions across the spectrum of commingled funds, separate accounts, and outsourcing solutions in both institutional and wealth channels. Strategies managed range from 100% public to 100% private inclusive of strategies targeting specific blends of public and private. Underlying Brookfield and Oaktree investment offerings include public and private equity and debt of real estate, infrastructure, renewable power and other related businesses. Current assets under management of the Real Assets Solutions team is approximately $3 billion.

This position reports to the Portfolio Managers of the Real Asset Solutions team.

This position works closely with peer Public Asset Allocation Analyst on the Real Asset Solutions team.

Responsibilities:
• Analysis:
• Investigate and demonstrate potential benefits and risks of investing in a wide variety of asset classes, both public and private, with a focus on private real assets.
• Establish strategic asset allocations for multi-asset investment strategies targeting specific return, risk, yield, factor exposures and other investment objectives.
• Monitor asset class and sector valuations to identify investment opportunities and risks for tactical asset allocation, with a focus on private real assets.
• Conduct asset-level investment research across private fund investments
• Portfolio Management:
• Develop and manage valuation and cash flow models for individual private funds as well as portfolios of private funds, including deployment, return of capital and reinvestment.
• Contribute investment ideas, insights, and recommendations during portfolio management meetings and strategy discussions with a focus on private real assets.
• Follow macroeconomic and sector specific data and news flow and synthesize into implications, opportunities and risks for investment strategies.
• Collaborate with sector specialist investment teams within the firm to discuss and explore sector specific views.
• Implement strategic and tactical asset allocation decisions across private investment portfolios.
• Compile portfolio models, portfolio allocations, portfolio performance and other relevant material for portfolio management meetings and investment committee meetings.
• Client Service and Marketing:
• Collaborate with other divisions within the firm (Client Service, Marketing, Operations, etc.) to conduct analyses relating to investment strategies and portfolios.
• Meet with prospects and clients to grow and retain assets under management.

Qualifications & Requirements:
• Bachelor’s degree or foreign equivalent. Graduate degree, CFA or CAIA designation a plus.
• 3-5 years of relevant investment experience:
• Private market experience is required, with working knowledge of private fund accounting
• Asset allocation experience is considered an advantage
• Public markets experience is considered an advantage
• Fund of funds experience is considered an advantage
• Strong quantitative skills including data collection, treatment and analysis
• Strong skills using Excel, Word, PowerPoint and Bloomberg or FactSet.
• Programming experience in Python, R, or other statistical computing language is considered an advantage.
• Effective communicator, both oral and written, with ability to present with clarity, precision and conviction.
• Self-starter with strong work ethic and results orientation.
• Organized, thorough and detail oriented.
• Comfortable working in a team-based entrepreneurial environment.
• Ability to collaborate and build relationships with individuals at all levels of the organization.
