The Compliance Engineer will lead the technical team as part of DivX's compliance group. This individual will work with DivX's Legal and Licensing team to ensure customer compliance with the terms of DivX license agreements, detect and prevent violations... of license terms, and identify unlicensed shipment of goods practicing DivX Technology or violating DivX's trademarks. The Compliance Engineer will act as a technical resource across the DivX organization (including Legal and Licensing teams) and will support external auditors and outside contractors with technical analysis related to ongoing compliance matters.
Responsibilities:
Support the Licensing Compliance Director in all technical aspects of license compliance and enforcement, including product testing during the audit process and pre-litigation dispute resolution. Manage and develop video technology testing materials used to detect DivX Technology included in Consumer Products. Lead the Compliance team in physical product testing and test product acquisition. Conduct pre-audit analysis of licensees, identify non-reported Consumer Products. Assist in building strategic approaches to licensing compliance and patent licensing matters.
Qualifications:
3-5
years of relevant work experience in forensic engineering and technical IP Protection is desired. Strong analytical skills, and experience in data analysis on multiple datasets. Undergraduate or graduate degree in computer science, electrical engineering, or closely related fields, or post-graduate technical work in those areas, helpful but not required. Experience working with third party audit firms and directly auditing customers. Ability to work and collaborate with a geographically distributed team. Ability to work independently with a high degree of accountability. Understanding of technology in the context of intellectual property. International Travel for onsite audits About DivX:

Responsibilities:
• Support the Licensing Compliance Director in all aspects of license compliance and enforcement, including pre-litigation dispute resolution efforts, ensuring effective termination, and/or other breach-of-contract .
• Assist with non-litigation enforcement matters, including working with various customs offices, investigation, enforcement, and other pre-litigation enforcement.
• Manage pending contract and IP enforcement disputes, including both domestic and foreign pre-litigation, litigation, patent proceeding and arbitration. Work closely with outside counsel in formulating strategy, drafting pleadings, briefs, and managing discovery.
• Draft and negotiate settlement agreements related to any of the foregoing.
• As needed from time-to-time, assist with non-licensing disputes as they arise, widely ranging from commercial disputes to other corporate .

Qualifications:
• JD and admittance to practice law in California.
• 3-5 years post-graduate legal experience required, with at least 1-2 years in commercial and/or IP litigation (patent, trade secret, trademark, and/or copyright) strongly desired.
• Experience working with third party audit firms and directly auditing customers.
• Ability to work independently with a high degree of accountability.
• Unquestionable ethics, integrity, and business judgment.

• Provide legal advice and support to the CEO/CLO and other executives, in all aspects of legal function, including corporate matters, HR, employment, privacy, contracts, litigation and licensing.
• Manage DivX's consumer electronics licensing business, including drafting of license agreements and support for license compliance and enforcement efforts.
• Draft, review and manage all corporate contracts including NDAs, confidentiality agreements, license agreements, technology transfer agreements.
• Handle a wide array of corporate matters under the direction of CLO, including corporate governance, corporate finance initiatives, budgeting, foreign subsidiary management, board materials, etc.
• Manage company HR and employment matters, including corporate policies, recruiting and hiring, compensation and benefits, etc.

Qualifications:
• Juris Doctor (J.D.) from ABA accredited law school and active licensee of the California Bar in good standing or qualified to practice law as in-house counsel in California.
• Minimum 5-8 years of post-graduate legal experience required, including some major law firm experience. In-house experience preferred.
• Experience working with multiple stakeholders across all areas of a business.
• Strong contract drafting and negotiation skills.
• Experience with IP / technology licenses preferred.
• Ability to work independently, takes initiate and has a high degree of accountability.
• Well organized with the ability to multitask, prioritize, and manage shifting responsibilities in a dynamic, cross-functional teamwork environment.
• Unquestionable ethics, integrity, and business judgment.
• Familiarity with Salesforce is a bonus.
