POSITION OVERVIEW:
As Deputy General Counsel, Private Wealth, you will be responsible for leading the StepStone Private Wealth legal team and will report into StepStone’s Chief Legal Officer. You will initially focus on legal matters related to the StepStone Private Wealth funds that are regulated under the Investment Company Act of 1940, as well as their subsidiaries and affiliated investment vehicles. You will work closely with the broader StepStone Legal and Compliance teams and lead the day-to-day implementation and maintenance of the compliance programs for the StepStone Private Wealth funds, with a view to becoming the funds’ Chief Compliance Officer in due course.
COMPETENCIES AND CRITICAL SKILLS:
Responsibilities:
Lead staffing and strategy in respect of legal, and eventually, compliance, work required for the StepStone Private Wealth funds.
Work closely with transactional attorneys across StepStone to execute investments (including joint transactions) on behalf of the StepStone Private Wealth funds, including negotiating and drafting documentation to execute private markets investments in (i) secondary purchases and sales of private markets fund interests, and (ii) direct investments and (iii) co-investments.
In concert with the Chief Compliance Officer of the StepStone Private Wealth funds, develop and implement the funds’ policies, procedures and processes. Support the funds’ CCO in conducting risk assessment analyses and performing compliance testing.
Advise and educate StepStone investment professionals and other personnel on 1940 Act compliance. Review and analyze applicable laws and regulations and keep abreast of regulatory guidance to determine whether changes or enhancements should be made to the StepStone Private Wealth funds’ compliance program.
Prepare materials for the funds’ Board of Trustees and committee meetings, including agenda, exhibits, minutes, reports and resolutions.
Draft/review 1940 Act fund registration statements, prospectuses, shareholder reports, tender offers and other regulatory filings.
Draft/review contracts, including, service provider agreements, advisory/sub-advisory agreements, distribution agreements, transfer agency agreements, custodian agreements and related agreements.
Assist the StepStone Private Wealth team in administering investment vehicles for HNW investors by coordinating transfers and drafting/reviewing amendments to fund documents.
Special projects from time to time subject to availability and firm needs (e.g., strategic transactions, fiduciary counseling and training, securities law filings, client engagement documentation, marketing, etc.).
Required Knowledge, Skills, and Abilities:
Strong knowledge of registered investment company disclosure and regulatory requirements, including fund structuring.
Prior experience managing teams of lawyers on specific transactions with ability to shift seamlessly between executing (drafting, researching, etc.) and directing others.
Professionally communicate with all levels of staff, as well as clients and investment manager personnel.
Utilize effective time management skills to maintain a commitment to quality and attention to detail; ensure that all work is completed accurately and on time.
Foster a sense of teamwork, assisting others when needed/required, and collaborating with colleagues across asset classes to ensure consistency of StepStone approach and best practices.

QUALIFICATIONS:
4 Year College Degree Required
Must possess a law degree from an accredited and reputable law school, be admitted to the NC, NY, CA, MD or D.C. bar, and be in good standing
Eight to fifteen years of experience as an attorney with experience at a law firm and/or financial services firm, with a focus on matters relating to the Investment Company Act of 1940 and the Investment Advisers Act of 1940.
Ideal candidates will have experience with private markets investment management firms, whether in-house or at a law firm.
Experience managing attorneys and paralegals preferred.
Relocation support can be provided to those eligible.

The School Operations Assistant is responsible for the day-to-day administration of a wide variety of activities in support of Stepstone Academy including but not limited to: copying, filing, emailing, data processing and reporting while maintaining the highest level of confidentiality and ensuring the school operates in a consistently organized manner daily.

• Assists with the enrollment, transfer, discharge, and readmission process for students and the preparation of related records and files as related to the
Education Management Information System (EMIS).
• Maintains student attendance including sign-ins, sign-outs, software entry, parent calls and all associated records and communications.
• Coordinates the distribution of reports, information and communications to appropriate individuals.
• Organizes and maintains food service and related programs: including NSLP program requirements, record keeping, kitchen sanitation, and inventory control, distribution of meals and all related training and duties as needed.
