This position will... document the negotiated contract pricing, terms and conditions including the business strategy, and other relevant contract information into TNW's contract database, ensure compliance with company policies, ensure timely renewals/renegotiations, and provide required reporting for compliance.

The Corporate Attorney must be a multi-tasker with excellent organizational and communication skills. The detail-oriented individual will ensure contracts have been fulfilled and completed through the closeout process. The job requires communication between multiple departments and must be able to communicate well with external customers.

Location: TNW Corporate Office in Dallas, Texas

Position Requirements:
Education and Experience:
• Juris Doctor degree from accredited law school
• Must be licensed in the State of Texas
• At least 2 years experience in a corporate law practice or commercial in-house legal setting
• Significant experience drafting and negotiating commercial agreements Licenses and

Certifications:
Current driver's license with clear driving record and no restrictions

Position Responsibilities:
• Draft, review and negotiate sales and purchase contracts and other commercial contracts. Make timely and appropriate decisions and assess legal implications of business alternatives.
• Gain comprehensive knowledge of the Company and its activities, values, and philosophies. Identify and evaluate alternatives and recommend courses of action to internal clients.
• Provide value-added legal services with respect to increasingly complex legal matters and draft legal documents and memoranda without oversight. Manage, collaborate with, and effectively utilize internal and external counsel resources relating to all areas of the Company's activities.
• Maintain database of contract information for internal use and reference, to include point of contact information, contract value, expiration dates, special terms and conditions ensuring that authorized personnel can access the terms and conditions of relevant contracts
• Primary administrator for the contract system, tracking contracts and contract approvals / executions and creating / generating reports on contracts
• Responsible for data integrity of central contract database
• Maintain contract files to ensure compliance with requirements, administration of supplier files, certificates of insurance, amendments, letters, and other contractual documents
• Ensure all significant contract changes are formally reviewed and approved by management
• Support all related standard processes and procedures
• Track all correspondence and authorizations to maintain detailed and accurate files
• Provide reporting on contract activity and compliance, as requested
• Promote professionalism, positive corporate image, and enthusiasm when dealing with internal and external customers
• Work effectively in a team environment, communicate with other employees, develop computer skills, and promote a positive work ethic
• Other duties as assigned

Availability:
• This is a full-time position.
• Requires commitment to irregular work hours in support of the success of a 24/7 operation.
• Infrequent travel may be required.
• This position requires no supervisory responsibility.

Working Environment:
• Normal working conditions for this position are in both an office and field setting.
• Good hearing and vision required.
• Must be able to sit and stand for extended periods of time.
• Must be able to walk, stand, bend, stoop, and twist to retrieve files, ledgers, and record books.
• Must be able to regularly lift objects weighing up to 10 pounds and occasionally lift objects weighing up to 25 pounds with assistance.
• The employee regularly works inside a well-lighted, climate-controlled office and routinely uses standard office equipment such as computers, phones, photocopiers, printers, filing cabinets and fax machines.

Special Requirements:
• Safety equipment and personal protective equipment must be worn when and where needed.

RESPONSIBILITIES:
• Review vendor invoices for accuracy, appropriate support and approvals.
• Review employee expense reports for accuracy, appropriate receipts, approvals and that requested reimbursements are in accordance with Company’s policies.
• Ensure that all vendor invoices and employee reimbursement forms are properly coded to the correct GL accounts.
• Enter vendor invoices and employee reimbursements into Quickbooks.
• Print checks as required.
• Review vendor statements and be able to research and resolve any discrepancies.
• Interact with our facilities and managers for invoice coding, approvals and revolving any disputes.
• Enter in payroll and other journal entries into Quickbooks as required.
• Provide support and serve as backup for the accounts receivable function.
• Assist in reconciling various general ledger accounts including, petty cash accounts, credit card accounts, fixed assets, prepaid accounts, accrued liabilities accounts and others.
• Assist in the monthly close by preparing and entering in the appropriate accruals.
• Create, maintain and update various accounts payable procedures.
• Prepare annual tax forms such as 1099s and others.
• Perform other duties as needed to support the operations of the accounting department.

JOB REQUIREMENTS:
• Minimum of 2 years in Accounts Payable
• Minimum of 2 years of Quickbooks desktop experience
