JOB SUMMARY

The GSFSGroup Associate Counsel will provide legal advice to support the vision and strategic objectives of the company and help management build comprehensive and dynamic business plans and programs. The Associate Counsel will assist the Legal Team of GSFSGroup in (i) providing counsel and legal advice to the management team on legal and regulatory requirements, risks and implications of GSFSGroup's business plans and programs, (ii) negotiating, reviewing and drafting contracts in furtherance of those plans and programs; (iii) assisting in designing consumer products, services, and innovative technology solutions that are competitive and compliant in today's complex regulatory marketplace; and (iv) legal claims, complaints and litigation.

ESSENTIAL RESPONSIBILITIES
• Provide legal services to GSFSGroup that effectively meet client needs and minimizes risk associated with business transactions. Work collaboratively with the legal team and clients to provide solutions to all client needs of whatever size and shape.
• Advise GSFSGroup associates about all pertinent business and legal matters affecting GSFSGroup; determine legal aspects and prudent action for management to take regarding GSFSGroup's business transactions under the specific circumstances.
• Provide advice to ensure GSFSGroup is aware of the requirements of laws and regulations. Assist in the development, implementation, and monitoring of risk management and prevention policies, processes, practices to ensure GSFSGroup compliance with legal and regulatory requirements, particularly in connection with consumer facing products. Assist with the development of associates to educate and assist in compliance with current federal, state and local laws and regulations applicable to GSFSGroup's business.
• As assigned, effectively communicate with governmental agency personnel to represent or advocate GSFSGroup's plans and positions and assist with other government relations activities related to GSFSGroup's products and businesses.
• Negotiate, draft, analyze and review contracts and agreements.
• Under direction of Vice President, Chief Legal Officer, participate in the legal department's efforts in connection with the strategic development, implementation and monitoring of new products, services, programs and technology and other initiatives.
• Provide advice regarding consumer contracts, proposed transactions, claims and litigation in accordance with GSFSGroup's strategic vision and business goals.
• Perform other duties and activities as requested in furtherance of GSFSGroup's business plans and programs.

QUALIFICATIONS

Doctor of Jurisprudence degree from an accredited United States Law School and 5 to 8 years' experience as an attorney in a private law firm or medium to large public or private company. Experience in the insurance, financial services or automobile industries is preferred. Member in good standing of the Texas bar or ability to waive into the Texas bar.

• Manage the transaction from contract preparation to closing, including title and survey review or response to objections, preparation of closing documents, review of closing statements, and coordination of closings with the business team, accounting, and title companies.
• Review and monitor contractual obligations to validate all terms and conditions are met.
• Advise on legal risk regarding asset acquisition and other real estate transactions.
• Advise on asset selection and escalate critical contract issues to internal departments to ensure timely and appropriate resolution.
• Provide leadership and coaching to the Legal Assistant.

The attorneys in the Casualty section of Thompson Coe handle a variety of complex litigation cases, including products liability, premises liability, transportation, dram shop, construction, oil and gas, hospitality, wrongful death and catastrophic injuries. The associate in this position will assist in handling the day-to-day aspects of casualty cases, including client meetings, reporting and investigation, and taking, defending and attending depositions, hearings, mediations and arbitrations and/or trials.
